Please read these Terms of Service ("Terms") carefully before using the Clearview Data
Management platform ("Platform") operated by Hough & Associates ("we," "us," or "our").
By accessing or using the Platform, you agree to be bound by these Terms.
1. Service Description
Clearview Data Management is a qualitative data analysis platform designed to help
organizations process, analyze, and derive insights from survey data. The Platform
provides the following capabilities:
- Upload and management of survey responses and participant data.
- AI-powered qualitative analysis, including theme extraction, sentiment analysis,
and code book generation.
- Data visualization and analytics dashboards.
- Action plan generation based on survey findings.
- Report and whitepaper generation.
- Data export in multiple formats.
- Multi-tenant data management with role-based access controls.
2. Account Registration and Security
To use the Platform, you must create an account with a valid email address and password.
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
- Ensuring that your account information remains accurate and up to date.
We reserve the right to suspend or terminate accounts that violate these Terms or
that pose a security risk.
3. User Responsibilities
As a user of the Platform, you agree to:
- Use the Platform only for lawful purposes and in accordance with these Terms.
- Ensure that all data uploaded to the Platform has been collected with appropriate
consent and in compliance with applicable data protection laws.
- Not upload data containing personally identifiable information (PII) unless
authorized to do so and in compliance with applicable privacy regulations.
- Not attempt to gain unauthorized access to any part of the Platform, other
users' accounts, or connected systems.
- Not use the Platform to transmit malicious code, viruses, or other harmful content.
- Comply with all applicable local, state, national, and international laws and
regulations.
4. Data Ownership
You retain ownership of all data you upload to the Platform, including survey responses,
participant information, and associated metadata. By uploading data, you grant us a
limited, non-exclusive license to process, analyze, and store the data solely for the
purpose of providing Platform services to you.

Your Data: All survey data, participant data, and uploaded files
remain your property. You may request export or deletion of your data at any time.

Analysis Outputs: AI-generated analysis results, including themes,
codes, sentiment scores, and action plans, are derived from your data and are
provided to you as part of the Platform services.

Platform Content: The Platform itself, including its design, code,
features, and documentation, is the intellectual property of Hough & Associates.
5. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable laws or regulations.
- Infringe upon the intellectual property rights of others.
- Upload or process data that you do not have the legal right to use.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.
- Interfere with or disrupt the Platform's infrastructure or other users' access.
- Use automated tools, bots, or scripts to access the Platform without prior
written authorization.
- Share your account credentials with unauthorized individuals.
- Use the Platform for any purpose that is fraudulent, deceptive, or harmful.
6. Service Availability
We strive to maintain high availability of the Platform but do not guarantee
uninterrupted access. The Platform may be temporarily unavailable due to:
- Scheduled maintenance and updates.
- Unplanned outages or technical issues.
- Factors beyond our reasonable control, including third-party service disruptions.
We will make reasonable efforts to notify users of planned downtime in advance.
7. Limitation of Liability
To the fullest extent permitted by applicable law:

The Platform is provided "as is" and "as available" without warranties of any kind,
whether express, implied, or statutory, including but not limited to warranties of
merchantability, fitness for a particular purpose, and non-infringement.

We shall not be liable for any indirect, incidental, special, consequential, or
punitive damages arising out of or related to your use of the Platform, including
but not limited to loss of data, loss of revenue, or business interruption.

Our total liability for any claims arising under these Terms shall not exceed the
amount paid by you for Platform services in the twelve (12) months preceding the
claim.

We are not responsible for the accuracy, completeness, or reliability of AI-generated
analysis outputs. Users should exercise independent judgment when acting on
analysis results.
8. Indemnification
You agree to indemnify, defend, and hold harmless Hough & Associates, its officers,
directors, employees, and agents from and against any claims, liabilities, damages,
losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Data you upload or process through the Platform.
9. Termination
We may suspend or terminate your access to the Platform at any time, with or without
cause, upon reasonable notice. Upon termination:
- Your right to access and use the Platform will immediately cease.
- You may request export of your data within 30 days of termination.
- After the 30-day period, your data may be permanently deleted.
You may terminate your account at any time by contacting us at the email address
provided below.
10. Data Processing and Privacy
Your use of the Platform is also governed by our
Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you acknowledge and agree to the following:

Data Controller/Processor Roles: When you upload survey data to the
Platform, you act as the Data Controller and we act as the Data Processor. You are
responsible for ensuring lawful collection and appropriate consent for all data uploaded.

AI Processing: Survey data may be processed using AI services (including
OpenAI) for analysis purposes. By uploading data, you consent to this processing. You must
ensure that any required consents from survey participants have been obtained before uploading
data for AI analysis.

Data Processing Agreement: Organizations requiring a formal Data Processing
Agreement (DPA) may request one by contacting us. The DPA will define the scope, nature,
and purpose of processing, as well as the obligations of both parties under applicable
data protection laws.

Sub-Processors: We use third-party sub-processors to provide certain
Platform features. A current list of sub-processors is available in our Privacy Policy.
We will notify you of any changes to our sub-processors.

Data Security: We implement appropriate technical and organizational
measures to protect personal data, including field-level encryption, access controls,
and multi-tenant data isolation.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the
United States, without regard to its conflict of law provisions. Any disputes arising
under these Terms shall be resolved in the courts of competent jurisdiction.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of
material changes by posting a notice on the Platform or by email. Your continued use
of the Platform after such modifications constitutes acceptance of the updated Terms.
